Material Transfer Agreement (MTA) for VHH Antibodies

  1. Definition of Material Party A shall provide Party B with eight (8) types of VHH antibodies specifically recognizing TNGC and PDAC, along with related information (collectively, the "Material").
  2. Restricted Use and Prohibition of Transfer The Material shall be used solely for the purpose of the defined analysis (e.g., immunohistochemical analysis). Any other use, including provision, transfer, or loan to third parties, commercial use, or clinical application, is strictly prohibited.
  3. Prohibition of Reverse Engineering Party B shall not perform any act intended to decipher the composition or structure of the Material, including but not limited to amino acid sequencing, structural analysis, or identification of genetic sequences.
  4. Ownership of Intellectual Property All intellectual property rights related to the Material and any derivatives thereof belong exclusively to Party A. Party B shall promptly notify Party A of any new inventions arising from the analysis, and the handling of such inventions shall be determined through mutual consultation.
  5. Obligation to Report and Consult Party B shall disclose the analysis results and progress to Party A without delay and shall be obligated to actively share information and consult with Party A.
  6. Confidentiality Both parties shall maintain the confidentiality of technical and business information (including analysis results) disclosed by the other party. No personal patient information shall be provided under this agreement.
  7. Expenses and Disclaimer The Material is provided free of charge; however, Party B shall bear all costs related to the analysis. The Material is provided "as is" for research purposes only, with no warranties regarding efficacy or non-infringement of third-party rights.
  8. Restriction on Publication Prior written approval from Party A is required for any publication of the results in journals or at conferences. Party A may request modifications to the content or postponement of the publication to protect intellectual property.
  9. Transition to Next Phase If favorable findings are obtained through this Feasibility Study (FS), both parties shall promptly commence discussions toward a formal joint research agreement or a licensing agreement.
  10. Term and Termination The agreement is valid for 12 months from execution. Upon expiration or if the project objectives are not met, Party B shall promptly return or destroy any remaining Material and notify Party A accordingly.
